A1. ABOUT ROUTE REVOLUTION

Route Revolution is a technology-enabled logistics aggregator and multi-carrier
shipment facilitation platform, registered as a Sole Proprietorship under
MSME/Udyam No. TN-20-0148410, with GSTIN 33CGXPC4763P1ZM, headquartered at
#378/1-3, Kandhampatty, Salem – 636005, Tamil Nadu, India.
Route Revolution operates the Route Revolution Booking Software ("RRBS") at
dashboard.routerevolution.in, through which it provides Clients and Franchise
Partners with access to carrier-agnostic logistics services.
[!] IMPORTANT LIMITATION

Route Revolution is NOT a courier company. It does NOT own any
transportation fleet, delivery vehicles, or physical delivery network.
Route Revolution acts exclusively as a technology platform and logistics
facilitator. All actual shipment pickup, transit, and delivery is
performed solely by empanelled third-party Carriers.
Route Revolution is NOT liable for any Carrier-side delay, loss, or
failure beyond the compensation framework specified in these Terms.

A2. DEFINITIONS
--------------------------------------------------------------------------------
The following definitions apply across all Parts of these Terms & Conditions:
A2.1 "Agreement" — The specific contract executed between Route Revolution and
the applicable stakeholder (RR-FCA for Franchise, RR-CSA for Client),
together with these Terms & Conditions and all Schedules.
A2.2 "RRBS" — Route Revolution Booking Software accessible at
dashboard.routerevolution.in. The mandatory platform for all bookings,
tracking, wallet operations, and account management.
A2.3 "Carrier(s)" — Third-party courier companies empanelled by Route
Revolution, currently Delhivery Limited (primary, live on RRBS) and Blue
Dart Express Limited (prepaid, form-based). Ekart Logistics is NOT a
booking Carrier.
A2.4 "Wallet" — The pre-funded RRBS credit balance maintained by the
Stakeholder from which all freight, RTO, DPH, weight mismatch, and other
charges are auto-deducted.
A2.5 "COD" — Cash on Delivery. Collection of shipment value from the consignee
at delivery, subject to Carrier settlement cycles.
A2.6 "DPH" — Dynamic Pricing Hike. Delhivery's fuel-linked surcharge applied
on delivery (DL), RTO, and DTO charges. Calculated at 0.25% freight hike
per 1% fuel rise above base of Rs.85.50/litre. DPH is one-directional —
it never reduces below zero.
A2.7 "NDR" — Non-Delivery Report raised by the Carrier upon a failed delivery
attempt.
A2.8 "RTO" — Return to Origin. Return of an undelivered shipment after 3 failed
delivery attempts or Stakeholder authorisation.
A2.9 "Declared Value" — The monetary value of a shipment declared by the
Stakeholder at booking, binding for all claim and liability purposes.
A2.10 "GST" — Goods and Services Tax at 18% (or as amended) applicable on all
fees, charges, and services under these Terms.
A2.11 "Business Day" — Any calendar day that is not a Sunday or a declared
national or State public holiday in Tamil Nadu, India, on which banks in
Salem are open for regular business.
A2.12 "Prohibited Goods" — Items that may not be shipped under any
circumstances, as listed in Route Revolution's Operational Policies at
www.routerevolution.in/policies.
A2.13 "Force Majeure" — Any event beyond the reasonable control of either party,
including natural disasters, pandemics, government orders, strikes, civil
unrest, or infrastructure failures.
A2.14 "Operational Policies" — Route Revolution's live, updatable policies at
www.routerevolution.in/policies governing weight mismatch, RTO, cancelled
shipment refunds, and prohibited goods, updated with minimum 15 days'
written notice.

A3. PLATFORM ACCESS & ACCOUNT OBLIGATIONS

A3.1 Mandatory Platform Usage — ALL bookings must be placed exclusively through
RRBS. Bypassing RRBS to book directly with any Carrier constitutes a
material breach.
A3.2 Account Credentials — The Stakeholder is solely responsible for
maintaining the confidentiality of login credentials and for all
activities conducted through their account.
A3.3 KYC Compliance — Route Revolution may conduct KYC verification at
onboarding and at any point during the relationship. Incomplete or false
KYC is grounds for immediate account suspension.
A3.4 Prohibited Activities — The Stakeholder shall not:
(a) ship Prohibited Goods;
(b) use RRBS for any illegal purpose;
(c) attempt to reverse-engineer, scrape, or replicate any part of RRBS;
(d) share credentials with unauthorised persons.
A3.5 Dormant Account — Any RRBS account with no booking activity for 60 or
more consecutive calendar days may be flagged as dormant and may require
re-KYC before full functionality is restored.
A3.6 Accuracy of Information — The Stakeholder must ensure all shipment
details, consignee addresses, contact numbers, and declared values entered
in RRBS are accurate. Route Revolution is not liable for non-delivery,
mis-delivery, or claims arising from incorrect information.

A4. WALLET OPERATIONS — GENERAL RULES

A4.1 Pre-Paid Model — RRBS operates exclusively on a pre-paid wallet basis.
Route Revolution does not extend credit, deferred billing, or post-paid
arrangements under any circumstances.
A4.2 Minimum Balance — A minimum wallet balance of Rs.500 must be maintained
at all times. When the balance falls below Rs.500, all new bookings are
hard-blocked on RRBS until recharged.
A4.3 Recharge Method — Wallet recharges are via NEFT, IMPS, or UPI to Route
Revolution's designated Axis Bank account:

Credits reflect within one Business Day of payment confirmation.
A4.4 Non-Withdrawable — Wallet balance is non-withdrawable and non-transferable
during the active account term. It may only be applied toward freight and
platform charges on RRBS.
A4.5 Negative Balance — If the wallet falls into negative balance due to
Carrier billing adjustments, the Stakeholder must recharge to positive
balance within 48 hours of written notice.
A4.6 Interest on Overdue Amounts — Any amount payable that remains unpaid
beyond 15 days of its due date shall attract simple interest at
18% per annum (1.5% per month) from the due date until full payment.
A4.7 Weight Mismatch Auto-Deduction — Where the Carrier identifies a weight
discrepancy, the freight differential is auto-deducted from the wallet
upon Carrier billing. Disputes must be raised within 7 days with:
- Photograph of shipment on calibrated scale (AWB visible)
- RRBS booking screenshot showing declared weight

A5. CARRIER OPERATIONS — COMMON PROVISIONS

A5.1 The Stakeholder has no direct contractual relationship with any Carrier.
All Carrier billing, weight decisions, and service levels are governed
exclusively by Route Revolution's Carrier Agreements.
A5.2 Route Revolution may add, modify, or remove any Carrier with minimum
15 days' written notice. No deposit or plan fee is refundable due to
Carrier changes.
A5.3 Delhivery's DPH fuel surcharge is auto-deducted from the wallet as part
of Carrier billing. Route Revolution will notify of any DPH parameter
changes with minimum 15 days' notice.
A5.4 Route Revolution does not guarantee any delivery timeframe. All delivery
timelines are governed solely by the applicable Carrier's own SLAs.
Failure by the Carrier to deliver within its stated TAT is NOT a breach
by Route Revolution.
A5.5 Upon a failed delivery, the Carrier raises an NDR. The Stakeholder must
act (correct address, reschedule, or authorise RTO) within 24 hours
via RRBS.
A5.6 After 3 failed delivery attempts, the Carrier initiates RTO
automatically. RTO charges are auto-deducted from the wallet at the
applicable Carrier rate.
A5.7 Loss & damage claims must be submitted via RRBS within 30 days of
shipment booking date. Carrier liability caps apply. Route Revolution is
not liable for loss caused by incorrect address, Prohibited Goods,
improper packaging, or under-declared value.

A6. COD TERMS — COMMON PROVISIONS

A6.1 Settlement Cycle — COD follows a T+8 working day cycle. Shipments
delivered between Tuesday and Monday form one batch, credited the
following Saturday. If Saturday is a bank holiday, credit moves to the
next working day.
A6.2 Carrier-Dependent — All COD remittance is strictly dependent on Route
Revolution receiving settlement from the Carrier. Route Revolution does
NOT advance COD under any circumstances.
A6.3 COD Dispute Procedure — Short or missing COD disputes must be raised in
writing to info@routerevolution.in within 7 days of receiving the
remittance statement. Required:
(a) AWB number(s)
(b) Declared COD amount
(c) Consignee delivery proof
Carrier-provided records are conclusive.
*** HARD CUTOFF: No disputes are entertained after 30 days from the
shipment delivery date — under any circumstances. ***
A6.4 COD Hold — Route Revolution may hold COD remittances for up to 30 days
during fraud investigations, high-RTO periods, or risk assessments.
Stakeholder notified within 2 Business Days of any hold.
A6.5 COD Suspension Trigger — If the Stakeholder's RTO rate exceeds 30% in
any 30-day period, COD access may be suspended with 7 days' written
notice.
A6.6 Blue Dart COD — NOT AVAILABLE. Blue Dart is prepaid only.

A7. PROHIBITED GOODS

[!] PROHIBITED GOODS — ZERO TOLERANCE POLICY

The following categories are STRICTLY PROHIBITED from being shipped
through RRBS under any circumstance. Violation results in immediate
account suspension, full wallet forfeiture, and legal action.

- Currency (cash, coins, bearer instruments), precious metals,
gemstones, or bullion
- Controlled substances, narcotics, or pharmaceuticals without valid
authorisation
- Firearms, ammunition, explosives, or weapons of any kind
- Perishable goods, food items, or live animals unless specifically
authorised in writing
- Hazardous materials, flammable substances, or dangerous goods under
applicable Indian regulations
- Pornographic, obscene, or illegal material
- Counterfeit goods or goods infringing any intellectual property rights
- Goods whose import, export, or domestic movement is prohibited under
applicable Indian law

A8. LIMITATION OF LIABILITY

[!] MAXIMUM LIABILITY CAP — BINDING ON ALL STAKEHOLDERS

Route Revolution's maximum liability to any Stakeholder in connection
with any single shipment is LIMITED TO the freight value of that
specific shipment as billed to the Stakeholder's wallet.
Route Revolution shall NOT be liable for:
(a) Loss of revenue, profit, or business opportunity
(b) Loss of goodwill, reputation, or customer relationships
(c) Indirect, incidental, special, consequential, or punitive damages
(d) Carrier-side failures, delays, or errors
(e) Force majeure events
Claims on shipments where Declared Value is less than actual value are
capped at the Declared Value.

A9. INTELLECTUAL PROPERTY
--------------------------------------------------------------------------------
A9.1 RRBS, all platform code, algorithms, databases, branding, trademarks,
logos, and content are the exclusive intellectual property of Route
Revolution.
A9.2 The Stakeholder is granted a limited, non-exclusive, non-transferable
licence to use RRBS solely for the purposes permitted under the applicable
Agreement. No other IP rights are granted.
A9.3 Reverse-engineering, scraping, replicating, or extracting any part of
RRBS or its integrations constitutes a material breach attracting
liquidated damages and immediate termination.

A10. PRIVACY & DATA
--------------------------------------------------------------------------------
A10.1 Route Revolution collects and processes personal and business data for the
purpose of account management, shipment processing, KYC compliance, and
service improvement.
A10.2 Shipment data, consignee details, and transaction records may be shared
with empanelled Carriers as necessary for service delivery.
A10.3 Route Revolution will not sell personal data to third parties for
marketing purposes.
A10.4 The Stakeholder warrants that all consignee data entered into RRBS has
been collected with appropriate consent under applicable Indian data
protection law.

A11. GRIEVANCE & ESCALATION
--------------------------------------------------------------------------------
A11.1 All grievances, disputes, or service complaints must be submitted in
writing to: info@routerevolution.in
A11.2 Route Revolution will acknowledge all grievances within 2 Business Days
and aim to resolve within 10 Business Days. Complex Carrier-related
disputes may take up to 21 Business Days.
A11.3 If unresolved after 30 days, disputes shall be referred to arbitration
per Clause A14.

A12. AMENDMENTS TO TERMS
--------------------------------------------------------------------------------
A12.1 Route Revolution may amend these Terms, Operational Policies, or freight
rate cards with the following minimum notice periods:
- Freight rate revisions : 15 days' written notice
- New fees / supplementary charges : 30 days' written notice
- Operational Policies updates : 15 days' written notice
A12.2 Continued use of RRBS after the applicable notice period constitutes
acceptance of the revised terms.
A12.3 A signed written amendment is required only for changes to the deposit
amount in any executed Agreement.

A13. FORCE MAJEURE
--------------------------------------------------------------------------------
Neither party shall be liable for failure or delay in performance caused by a
Force Majeure event. The affected party must notify the other in writing within
72 hours of the event. Route Revolution's obligations regarding COD settlement,
Carrier escalation, and RRBS uptime are suspended for the duration of a Force
Majeure event. No deposit or plan fee is refundable due to Force Majeure.

A14. GOVERNING LAW & DISPUTE RESOLUTION
--------------------------------------------------------------------------------
A14.1 Governing Law — These Terms & Conditions and all associated Agreements
are governed by and construed in accordance with the laws of India.
A14.2 Exclusive Jurisdiction — The courts of Salem, Tamil Nadu, India shall
have exclusive jurisdiction over all disputes arising under these Terms.
A14.3 Arbitration — Prior to litigation, all monetary disputes above Rs.10,000
shall be referred to arbitration under the Arbitration and Conciliation
Act, 1996.

Language : English or Tamil
Award : Final and binding
A14.4 Liquidated Damages — Specific liquidated damages provisions in each
Agreement are enforceable under Section 74 of the Indian Contract Act,
1872 and constitute a genuine pre-estimate of loss.
